Terms & Conditions — User Agreement

1. Eligibility & Accounts

• You must be at least 18 years old and reside in a jurisdiction where use of the Platform is lawful.
• You must complete identity verification (see our KYC Policy) before bidding in a live auction, purchasing from the exchange, or enrolling in a monthly plan.
• You are responsible for your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. Accounts are personal and may not be shared, sold, or transferred.
• You agree to provide true, current, and complete information and to keep it up to date. We may suspend or close accounts that provide false information, fail verification, or present fraud or compliance risk.

2. Nature of the Products; No Investment Advice

RZK is a reseller of secondhand and previously owned collectibles — coins, bullion, and related numismatic items. Unless a listing expressly states otherwise, items sold on the Platform are pre-owned, are sold in the condition described in the listing, and may show wear consistent with their age and stated grade or condition (e.g., circulated, cull, or heavily worn items are sold as such). RZK operates a for-profit reselling platform for physical goods; it is not a bank, brokerage, fund, or investment product issuer.

Precious metals and rare coins are volatile assets. Prices on the Platform move with live market (“spot”) prices plus premiums, and the value of anything you purchase can go down as well as up. Nothing on the Platform is investment, tax, or legal advice; RZK is a reseller, not a financial advisor, broker, or fiduciary. Grading opinions of third-party services (e.g., PCGS, NGC, ANACS, ICG) are those of the grading service. Spot prices displayed on the Platform are informational, may be delayed or cached, and do not constitute a quote until an order is accepted.

2A. Market Volatility — No Responsibility for Market Losses

You acknowledge that precious metals prices can move sharply and unpredictably. Gains are not guaranteed. Losses can occur at any time, including after you buy. To the fullest extent permitted by law, RZK Precious Metals and Rare Coins LLC is not responsible for any losses obtained through market volatility— including declines in spot price, resale value, premiums, auction results, or exchange pricing — whether those losses arise before, during, or after a purchase on the Platform.

You alone decide whether a purchase fits your goals, budget, and risk tolerance. Do not rely on RZK for personalized investment, tax, legal, or financial planning advice. Please also read our Market Risk Disclosure, which forms part of these Terms.

3. Live Auctions

• Bids are binding. Every bid you place is an irrevocable offer to purchase the lot at your bid amount plus the buyer's premium and any shipping, insurance, and applicable taxes. If you are the winning bidder when a lot closes, a binding sale is formed.
• RZK Wallet authorization. Before you may bid, you must save a payment method in your RZK Wallet. By placing a bid, you authorize RZK to charge your default wallet card immediately when you win (when the lot is marked sold / the hammer goes down), for the winning amount and any taxes or fees disclosed for that sale. If the charge fails, you must update your wallet or complete payment promptly; non-payment may cancel the sale and restrict bidding.
• Buyer's premium. The buyer's premium in effect for the session (announced in the auction room and on the lot listing) is added to the hammer price.
• Auction conduct. RZK may set opening bids and bid increments, extend or close lots, pause or cancel a session, and reject or void any bid it reasonably believes is erroneous, manipulative, or made in violation of these Terms. Shill bidding, bid manipulation, and non-payment are prohibited.
• All sales final. Once a lot closes, the sale is final. Winning bidders are charged from their RZK Wallet at win time. If that charge fails, you must update your card or finish payment using the backup pay option in My Orders & Wins; failure to pay may result in cancellation of the sale, loss of bidding privileges, account closure, and recovery of costs.
• Hosts and sellers. Live auction hosts and sellers must be approved by RZK in advance. Seller accounts are subject to additional terms provided at approval.

4. Exchange Purchases

• Listed prices update with live spot prices and may change until your order is submitted and accepted. An order is accepted when payment is authorized and we send confirmation.
• Quantities are limited; an item in your cart is not reserved until checkout completes. We may cancel and refund orders affected by obvious pricing errors, inventory errors, or suspected fraud.
• All sales of bullion and coins are final except as stated in Section 7 (Shipping, Inspection & Returns) or where required by law.

5. Recurring Monthly Purchase Plans

• Plan enrollment carries the minimum commitment period and cancellation terms disclosed at enrollment, which you must accept before your first charge.
• Monthly amounts are charged on the same calendar day each month via your selected payment method until you cancel in accordance with the plan terms.
• Unless you specify preferences in your account, RZK selects metals on your behalf at prevailing spot plus standard premiums. Acquired metals are credited to your account and may be held or shipped per Section 7.
• The full plan terms presented at enrollment (including any early-cancellation fee schedule) are part of these Terms for enrolled customers.

6. Payments

• Accepted payment methods are shown at checkout and may include ACH bank transfer, debit/credit card (surcharges may apply and are disclosed at checkout), wire transfer, and check. Orders above thresholds stated at checkout may require ACH, wire, or check.
• Payments must come from an account or instrument in your own name. Third-party payments may be rejected and reviewed under our AML Policy.
• You authorize us and our payment partner (currently Square for Exchange card checkout) to charge your selected payment method for your purchases, plan amounts, and applicable taxes and shipping.
• Returned payments, chargebacks made in bad faith, and non-payment are grounds for account suspension and recovery of amounts owed, including collection costs where permitted by law.

7. Shipping, Inspection & Returns

• Orders ship to your verified address with insurance in transit. Risk of loss passes to you upon delivery.
• Inspect your order promptly. Claims for items damaged in transit or materially different from the listing must be reported within 3 business days of delivery, with the item kept in its original packaging (including sealed slabs/sleeves).
• Because precious-metals prices fluctuate, buyer's-remorse returns are not accepted. Verified errors on our part (wrong item, wrong grade, authenticity issues confirmed by the grading service) will be corrected by replacement or refund at our option.

8. Prohibited Conduct

You agree not to:

• Use the Platform in violation of any law, including AML/sanctions laws, or attempt to evade identity verification.
• Manipulate auctions (shill bidding, coordinated bidding, bid retraction schemes) or interfere with other users' bids.
• Use bots, scrapers, or automated means to access the Platform, or attempt to probe or disrupt its security.
• Post unlawful, abusive, or deceptive content in the auction chat, or impersonate RZK staff or other users.
• Resell access to your account or use the Platform on behalf of an undisclosed third party.

9. Chat & User Content

The auction room includes public chat. You are responsible for what you post. You grant RZK a non-exclusive, royalty-free license to display and moderate your chat content on the Platform. We may remove content or mute or ban users at our discretion, with or without notice.

10. Intellectual Property

The Platform — including the RZK name, logo, site design, listing photography, and text — is owned by RZK or its licensors and protected by intellectual-property laws. You may not copy, reproduce, or use RZK branding or content except as needed to use the Platform for its intended purpose.

11. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, RZK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RZK DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT SPOT PRICES WILL BE ACCURATE OR CURRENT AT ALL TIMES, OR THAT ANY ITEM WILL APPRECIATE IN VALUE. AUTHENTICITY AND GRADE OF SLABBED COINS ARE CERTIFIED BY THE APPLICABLE THIRD-PARTY GRADING SERVICE, NOT BY RZK.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RZK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST MARKET VALUE, ARISING FROM OR RELATING TO THE PLATFORM OR THESE TERMS — INCLUDING LOSSES FROM MARKET VOLATILITY IN PRECIOUS METALS OR COINS, AS FURTHER DESCRIBED IN SECTION 2A AND OUR MARKET RISK DISCLOSURE. RZK'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID RZK FOR THE TRANSACTION GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You will indemnify and hold harmless RZK and its owners, officers, employees, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Platform, or your violation of law or third-party rights.

14. Dispute Resolution; Arbitration; Class Waiver

• Informal resolution first. Before filing a claim, contact us at support@rzk-goldandsilvertraders.com and allow 30 days to resolve the dispute informally.
• Binding arbitration. Any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court.
• Class action waiver. Disputes will be arbitrated on an individual basis only. You and RZK each waive the right to participate in a class action or class-wide arbitration.
• You may opt out of this arbitration provision by emailing us within 30 days of first accepting these Terms, stating your name, account email, and intent to opt out.

15. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules, and subject to applicable federal law. RZK operates exclusively online and maintains no retail location; all transactions are conducted through the Platform. Venue for any matter not subject to arbitration lies in the state or federal courts located in Westchester County, New York, and you consent to personal jurisdiction there.

16. Changes to the Platform & These Terms

We may modify the Platform and these Terms from time to time. Material changes will be posted on this page with an updated effective date, and where required we will provide additional notice. Changes do not apply retroactively to lots already closed or orders already accepted. Continued use of the Platform after changes take effect constitutes acceptance.

17. Termination

You may close your account at any time, subject to completing open transactions and plan obligations. We may suspend or terminate your account for violation of these Terms, failed verification, fraud or compliance risk, or as required by law. Sections that by their nature should survive (including payment obligations, disclaimers, limitation of liability, and dispute resolution) survive termination.

18. Miscellaneous

These Terms, together with the policies incorporated by reference and any transaction-specific terms presented at enrollment or checkout, are the entire agreement between you and RZK regarding the Platform. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, sale, or reorganization.
